The Organ Donation and Transplant Research Foundation of BC (ODTRF) is a small but powerful organization dedicated to supporting BC scientists and clinicians in pursuing their best and most cutting-edge ideas on how to enhance patient experiences and outcomes. Our vision is to drive groundbreaking discoveries, new treatments, and innovative technologies that will ultimately eliminate transplant wait lists and help make transplantation a cure. Role Overview The Board Secretary is an important member of the Board of Directors and brings a legal perspective to the management of the Foundation and is responsible for maintaining corporate records, ensuring annual filings are prepared and submitted, assisting the Chair in organizing Board meetings, and preparing and distributing meeting minutes. This role is ideal for individuals with prior legal or board experience, committed to organ donation and transplantation, and whose values align with the foundation's mission and vision. Key Responsibilities The Board Secretary, a member of the Board of Directors, is responsible for: • Maintaining corporate records and documents. • Preparing resolutions. • Working with the Foundation’s law firm, accountants and Treasurer to ensure annual corporate filings are prepared and submitted. • Assisting the Chair in organizing Board meetings. • Preparing and distributing meeting minutes. Ideal Candidate Profile We are looking for candidates with prior legal or board experience. Previous service in the non- profit/charitable sector is an asset but not necessary. Ideal candidates will have: • A commitment to ODTRF's mission, vision, and community stakeholders, ideally with relevant experience. • A legal degree or related professional experience in business, government, philanthropy, or nonprofits. • An understanding of nonprofit legal issues and obligations, including the duties of a Board Secretary. • Strong leadership and organizational skills, and the ability to build relationships and reach consensus. • The ability to commit the time required to perform the duties of Board Secretary and Director (approximately 5 hours per month).
